Temporary Governance Officer (12mth FTC) Wooburn Green, Bucks. Hybrid role (2 days Office / 3 days WFH) New opportunity for an experienced Governance specialist to join a leading charity association for a 12month assignment. The role : You'll be responsible for providing Governance support to the Group Board, Committees and Executive Board on decision-making and ensuring an effective delivery of professional governance and company secretarial services for the group. This will include: Governance Provide professional support ensuring the smooth running of board / committee activities (i.e., agenda planning, meeting arrangements, collation, and distribution of papers, advising on legal and regulatory requirements and procedures. Also drafting of accurate and succinct minutes, recording, and disseminating key decisions, capturing action points from the discussions, and following up directly with senior staff). Deliver the company Annual General Meetings, other shareholder meetings& scheduled Board& Committee meetings with associated documentation. Manage the maintenance of an accurate and up-to-date record of Board and Executive decisions. Design and deliver training on governance and company secretarial related issues; providing guidance to colleagues on governance policies and procedures. Company Secretarial duties: Assist with management of the submission of filings and returns in accordance with reporting timescales and ensure that all deadlines are met (including Companies House, the Financial Conduct Authority, the Charity Commission and other Regulators). Assist the Head of Governance with managing the Board Member learning and development programme and activities for board members. Responsible for updating/maintaining other systems and records. Keys Skills& Experience Required: Degree level or equivalent with demonstrable Governance and Company Secretarial experience at an equivalent level to this position Strong reputation for personal integrity, planning, organisation and maintaining confidentiality Discreet, tactful and the ability to maintain confidentiality (dealing with sensitive business information) Ability to take accurate, succinct minutes of meetings Proactive, problem-solver who takes personal responsibility for assessing situations and making decisions within established policy, procedures and recognised best practice Demonstrate strong time management and prioritisation skills Curious and interested in different aspects of the business and its operations.
